　　Agency Agreement
　　______________________________（Hereinafter referred to as Party A）
　　______________________________（Hereinafter referred to as Party B）
 

　　This agreement is made and entered into by and between the parties on the basis of equality and mutual benefit to development business on terms and conditions mutually agreed upon as follow:
 

　　After friendly negotiations between the Parties and according to the”
 

　　I. Agency conditions:
　　A. Having a fixed site for conducting business operations and possessing certain financial strengthen. The one who belongs to industry of petrochemical enjoys priority in being granted the agency of our products.
　　B. Having abilities of marketing operations and stable selling market and channels for our products;
　　C. Minimum order quantity is no less than   tons for the first order.
 

　　II. Products and territory
　　A. Party A hereby appoints Party B as its sole agent to solicit for our commodity from customers in the territory of country
　　B. Party B herein specifies as agent for Party A’s Tiande Brand product series and Party A must offer the most favorable prices to Party B. The most favorable prices must lower than normal trading prices.
 

　　III. Liabilities, rights and obligations of Party A:
　　A. On the premise of submission of purchase plan by Part B, Party A shall be responsible for an ample supply of products.
　　B. In consideration of the rights granted here, Party A shall not, directly or indirectly, sell or export the products stipulated as aforesaid to the third party in Party B’s region, and Party A shall refer to Party B any enquiries or orders for the commodity in question received by Party A from other firms in territory during the validity of this agreement. But for customers, who have business dealings with Party A before the signing of this agreement, they still belong to Party A.
　　C. Party A shall guarantee the quality of products to accord with product standard of Tiande brand additive.
　　D. Party A may appropriately adjust prices of the related supplied products in accordance with prices of raw materials.
　　E. Party A shall not bear any responsibilities for Party B’s business practice, legal acts or losses cased by poor management.
 

　　IV. Liabilities, rights and obligations of Party B:
　　A. Party B shall show his original ID and provide one copy of ID and related certifications or licenses of his company for Party A’s record according to actual conditions.
　　B. Party B may have the right to use related brand, sign or mark of Tiande brand additive products. Party B shall not make any detrimental impact on the reputation of Tiande brand image.
　　C. Party B shall sell goods by lawful means in this home market. Party B may not sign contract with other enterprises that operates the similar products without consent of the Party A.
　　D. Party B may establish second agent in his home market with consent of the Party A.
　　On basis of acknowledgment and agreement of aforesaid objections and terms, Party A issues Authorization and qualifications to Party B along with sales contract and buying receipt after Party B fulfills all terms. Then Party A formally declares Party B as a sole agent in country   for products of our company.
 

　　V. Price and minimum turnover:
　　A. The price for each order of the products, according to the pricing se out:     . Selling price shall be decided by Party B. If there is any price variation, Party A shall inform Party B one month before price adjustment.
　　B. Minimum order quantity per month shall be no less than   tons.
 

　　VI. Payment and transportation:
　　A. Each order, Party B shall prepaid 50% cash in advance and Party A shall send out the cargo to Party B within   working days. After receipt of B/L copy, Party B shall settle the balance.
　　B. Transportation: Any inland freight and ocean freight caused shall be shared by Party B.
 

　　VII. After-sales service:
　　A. Party A may provide technical training from workers of Party B in accordance with Party’s requirement.
　　B. Party A shall immediately reply and guide them to solve problems related to product technology that Party B proposes.
　　C. For problems of products that arise during the process of production, use, sales, which party B cannot solve by themselves, Party B may send technician to help. Travelling cost shall be for Party B’s account.
 

　　VIII. Liabilities for breach the Agreement:
　　A. Party A reserves the right to terminate this Agreement if Party B breaches any provisions of this Agreement.
　　B. If the agent does not make any deal in six successive months or cannot sell 10 tons of methanol gasoline additives per month, or seriously violates rules and regulations stipulated herein, Party A shall have the right to terminate this Agreement.
 

　　IX. Validity of this Agreement
　　A. This Agreement, when duly signed by the both parties concerned, shall remain for 12 months from    to     , and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.
　　B. Parties hereto may revise or supplement through negotiation for matters not mentioned herein. The annex and this Agreement are equally valid.
　　C. This agreement shall be made in triplicate and Party A and Party B shall, after signing all copies, retain one copy respectively and submit the other one to Party A’s counsel for record.
